TERMS AND CONDITIONS OF USE
Socialeat Manager · Conditions for Businesses, venues and authorised staff
Consolidated version · 29 September 2026
These Terms govern Socialeat Manager only. Manager access is professional and intended for Businesses and for the persons authorised to act on their behalf.
1. Service provider
Socialeat Manager is provided by Socialeat S.r.l., Via G. Compagnoni 26, Milan, VAT no. and tax code 13257270960, who can be contacted at info@socialeat.net.

3. Requirements for registration
- whoever registers a Business must be at least 18 years old and must be authorised to act for the Business;
- the data provided must be truthful, complete and up to date;
- the Business must be real and operating in a sector compatible with the service;
- the user must have a valid e-mail address and keep the Manager credentials safe;
- using the same e-mail address for Customer and Manager is allowed, but the two accesses remain legally and functionally separate.
4. Manager language and initial choice
Socialeat Manager is available in Italian and in English. At the start of registration you are asked to choose the language. The choice applies to the onboarding flow, the legal texts, buttons, errors, e-mails and supported Manager notifications. The language can be changed later from the account settings.
The Italian version of these Terms is the reference text in case of differences in interpretation, to the extent permitted by law.
5. Registration and acceptance of the documents
To create or activate Manager access, two separate actions are required: acceptance of the Terms and Conditions and acknowledgement of the Privacy Notice. Both boxes are empty by default and registration cannot be completed until they are ticked.
Acknowledging the Privacy Notice is not general consent to the processing of data. Any optional consents are separate and do not affect registration, unless they are needed for an optional feature specifically requested.
6. Onboarding process and venue approval
After the account is created, the Business completes the company and venue data requested by the Manager. In the current flow, setting up the first shared table is part of the operational completion before publication. The venue and the tables remain hidden from Customer users until Socialeat approves them.
Socialeat may request corrections, additions or documents when needed to verify the identity of the Business, the accuracy of the venue or the compliance of the content. Approval is not a public certification of the commercial quality of the Business.
7. Managing more than one venue
The same Manager account may be authorised to manage more than one venue. Data, permissions, tables and statistics must be associated with the correct venue. The Business is responsible for assigning access correctly and for keeping the information of each premises up to date.
8. Staff, invitations and permissions
The Manager Owner/Administrator may invite staff members and grant permissions consistent with their duties and with one or more venues. Invitations are personal and, in the current flow, expire after 14 days if not accepted, or may be revoked earlier.
Each staff member must use personal credentials. Sharing passwords, access codes or accounts is forbidden. The Business must immediately revoke access for anyone who is no longer authorised.
The Business is responsible for the internal organisation of access and must apply the principle of least privilege: each person must see and edit only what their duties require.
9. Passwords, account recovery and security
Manager credentials must be kept with care. The system may use verification codes or password resets. The user must report suspicious access or compromises without delay. Socialeat may temporarily suspend access or sessions when this is necessary for the security of the platform, of the Business or of Customer users.
10. Main features of the Manager
- create and update the venue profile, including contacts, description, photos, menus, opening hours and public information;
- create, edit, suspend or manage shared tables and their availability;
- manage bookings, cancellations, confirmations, attendance and no-shows according to the features available;
- manage promotions and discounts linked to the tables or to the venue;
- consult statistics and operational summaries;
- manage staff, roles and permissions;
- pause a venue or use the support features provided;
- receive notifications and operational communications relating to the service.
11. Obligations of the Business regarding venue data
The Business guarantees that the name, address, contacts, opening hours, menus, images, availability, promotions and other information published are correct, up to date and not misleading. It must promptly update whatever changes and may not use third-party trademarks, photographs or content without the necessary rights.
12. Shared tables, availability and discounts
The Business is responsible for the accuracy of the available seats, the times and the conditions of the shared table. If a specific discount is associated with a seat, the seat-discount association must be respected. If the user uses the general booking button, the system may assign the free seat with the highest available discount according to the logic of the Customer App.
The Business must honour the promotions and discounts it has published and may not change them retroactively for a booking already confirmed, unless agreed with the user or required by law.
13. Bookings and user attendance
The Manager may show Customer users’ data needed to manage the booking. The Business uses such data exclusively for purposes connected with the service, unless it has a separate legal basis for further processing.
Attendance, absences, cancellations and no-shows must be recorded truthfully. Altering such data in order to change statistics, disputes or future economic conditions is forbidden.
14. Confidentiality obligations and protection of Customer data
The Business and its staff must treat Customer users’ data confidentially and limit access to authorised persons. Exporting, selling, transferring, profiling or using such data for independent marketing without a valid legal basis and without fulfilling the Business’s own privacy obligations is forbidden.
If the Business copies or transfers Customer data to external systems, it becomes responsible for its own processing choices and for the security measures adopted outside Socialeat.
15. Reviews, feedback and Customer users’ content
The Business may view the reviews and feedback made available by the service and use any reply or reporting tools provided. It may not manipulate, buy or falsify reviews, nor put undue pressure on users to change legitimate ratings.
16. Licence on content uploaded by the Business
The Business retains the rights to its content and grants Socialeat, for the duration of publication and of the relationship, a non-exclusive, free and functional licence to host, technically reproduce, adapt to format, display and distribute such content within the Socialeat ecosystem and in the official channels strictly connected with the promotion of the venue, the tables and the service.
The Business guarantees that it holds the necessary rights to the content and indemnifies Socialeat against third-party claims arising from materials uploaded without authorisation, to the extent permitted by law.
17. Payments and economic conditions - current suspension
PAYMENTS ARE CURRENTLY SUSPENDED. Socialeat Manager does not charge fees, commissions or subscriptions through registration or current use of the Manager and does not require a payment method.
The previous arrangements relating to per-booking fees or free periods do not apply during the current phase of payment suspension. Requests for cards, IBAN, subscriptions, trials or charge authorisations must therefore not appear during registration.
In the future Socialeat may reactivate economic features only after clearly communicating prices, calculation methods, timing, any taxes and payment conditions. No new charge may start unless the Business has received and accepted the applicable economic conditions.
18. Venue pause, suspension and deletion
The venue pause feature prevents or limits new activity according to the logic shown in the Manager, but does not automatically remove obligations relating to bookings already confirmed. The Business must handle existing commitments properly or proceed with cancellations through the flows provided, so that Socialeat can inform the users involved.
Deletion of the venue or of the account may be subject to the closure of pending bookings, to the retention of the data needed for legal obligations, security or disputes, and to the revocation of staff access.
19. Prohibited conduct
- creating false, duplicate or misleading Businesses or venues;
- publishing unlawful, offensive, discriminatory or defamatory content, or content infringing the rights of others;
- artificially altering bookings, attendance, no-shows, statistics or availability;
- using Customer data for spam, unauthorised marketing or transfer to third parties;
- sharing credentials or circumventing roles, authorisations and security systems;
- scraping, abusive automated access or attempts at mass extraction;
- publishing promotions, prices or discounts that are untrue or that the Business does not intend to honour.
20. Moderation, removal and suspension
Socialeat may request the correction of information, hide content, suspend tables/venues or restrict accounts when this is necessary for security, user protection, legal obligations or breaches of these Terms. Measures are applied in proportion to the seriousness and repetition of the conduct, without prejudice to urgent action.
21. Service availability and maintenance
Socialeat aims to ensure continuity of the service but cannot guarantee the complete absence of interruptions. Maintenance, updates, third-party services, network problems or security events may make some features temporarily unavailable. Where possible, scheduled work is managed so as to reduce the operational impact.
22. Responsibility of the Business
The Business is responsible for running its own venue, its relationship with customers, the truthfulness of the content, the fulfilment of bookings and promotions and the conduct of its own staff. Socialeat does not replace the legal, tax, administrative, health and hygiene or professional obligations of the Business.
23. Limitation of Socialeat’s liability
Socialeat is liable within the limits provided by law for the operation of the platform and for its own obligations. It assumes no liability for business activities, catering services, users’ behaviour or external events that are not under its control, except where the law provides otherwise.
24. Communications
Operational communications may be sent by e-mail, push, in-app notifications or other channels provided. The Business must keep the account contact details up to date and check the communications relating to approvals, security, staff and bookings.
25. Changes to the Terms
Socialeat may update the Terms for regulatory, security or service development reasons. Substantial changes are communicated before they take effect. When a change materially affects the relationship, a new express acceptance may be required before continuing to use the Manager.
26. Duration and termination
The relationship lasts as long as the Manager account is active, unless suspended, withdrawn from or terminated in accordance with these Terms. Closure does not affect accrued obligations, the handling of existing bookings or the retention of data and documents required by law or for the protection of rights.
27. Governing law and jurisdiction
The professional relationship between Socialeat and the Business is governed by Italian law. For disputes with parties acting in the course of their business or profession, the Court of Milan has jurisdiction, subject to any mandatory rules that apply.
28. Relationship with the Privacy Policy
The processing of personal data connected with the Manager is described in the Socialeat Manager Privacy Notice. The Business is responsible for the processing it carries out independently on the data received through the platform and must provide its employees, collaborators and customers with the notices for which it is responsible when required.
